Welcome to UDFCLUB. This website, store, and all related content, features, products, and services (collectively, the "Services") are operated by North Thread LLC, doing business as UDFCLUB ("UDFCLUB," "we," "us," or "our"). Our store is powered by Shopify.

These Terms of Service ("Terms") govern your access to and use of the Services and your purchases from us. By visiting, using, or placing an order through the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.

We aim to display product descriptions, images, colors, and sizing information as accurately as possible. However, colors and product appearance may vary slightly depending on your screen, device settings, production process, and garment size.

Product availability is not guaranteed. We may modify, discontinue, or limit the quantity of any product at any time without notice. Product descriptions and pricing may also change without notice.

3. Orders and Acceptance

Submitting an order is an offer to purchase. An order is accepted only after we confirm it and successfully process payment. We reserve the right to refuse, cancel, or limit any order for any lawful reason, including suspected fraud, inaccurate pricing, inventory issues, or violations of these Terms.

Please review your order carefully before submitting it. Because many items may be made or prepared after an order is placed, we may be unable to change or cancel an order once production or fulfillment has begun.

4. Prices, Payments, and Taxes

All prices are shown in the currency displayed at checkout and are subject to change before an order is placed. Unless explicitly stated otherwise, prices do not include applicable taxes, shipping fees, customs duties, or import charges.

You authorize us and our payment providers to charge your selected payment method for the total amount shown at checkout, including applicable taxes and shipping fees. You are responsible for providing valid payment information and for all charges associated with your order.

5. Shipping and Delivery

Shipping and delivery timelines are estimates only and are not guaranteed. Delays may occur because of carriers, customs, weather, high order volume, or events outside our reasonable control.

You are responsible for providing a complete and accurate delivery address. We are not responsible for delays, loss, or additional costs caused by an incorrect address supplied by you. Risk of loss transfers to you when the order is delivered to the carrier, except where applicable law requires otherwise.

Returns, refunds, replacements, and exchanges are governed by our Refund Policy. By placing an order, you agree to the terms of that policy.

UDFCLUB and associated logos, designs, and slogans are trademarks or trade dress of North Thread LLC or its licensors. All rights not expressly granted are reserved.

If you submit reviews, comments, photos, ideas, suggestions, or other content to us ("User Content"), you represent that you have the right to submit it. You grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, display, and distribute that User Content in connection with operating, promoting, and improving the Services.

You may not submit content that is unlawful, misleading, infringing, abusive, defamatory, obscene, or harmful. We may remove User Content at our discretion.

The Services may include links to or functionality provided by third parties, including Shopify and payment providers. Those third parties operate under their own terms and privacy policies. We are not responsible for third-party websites, products, services, content, or practices.

Your purchase is made directly with North Thread LLC, not Shopify. Shopify provides the platform that powers our store and is not responsible for sales, orders, products, or customer-service matters related to your purchase from us.

You may use the Services only for lawful purposes. You may not:

  • Violate any applicable law or regulation;

  • Infringe our rights or the rights of another person;

  • Use the Services for fraud, harassment, abuse, or deception;

These Terms and any dispute arising from them are governed by the laws of the State of Colorado, United States, without regard to conflict-of-law principles. Any dispute that is not required to be resolved elsewhere by applicable law will be brought in the state or federal courts located in Denver, Colorado, and you consent to their jurisdiction.

We may update these Terms from time to time. Any changes will be effective when posted on this page, unless a different effective date is stated. Your continued use of the Services after updated Terms are posted means you accept the revised Terms.

17. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later.
